Code of Conduct

Basler Electric Company (herein after referred to as “Basler” and applies to all subsidiaries and divisions of the organization) has developed this code of conduct to ensure that our company and its subsidiaries, officers, management and all employees conduct themselves in an ethical manner. Basler also requires our suppliers, contractors, and business associates (herein after referred to as “Seller”) to follow these guidelines as a prerequisite to doing business with Basler. Additional guidelines may be specified in contracts in which case those specified contractual guidelines will prevail.

Guidelines

  1. Seller and Basler shall act at all times with integrity and honesty in its dealings with each other.
  2. If business with a competitor during the contract term would conflict with Basler’s interests, Seller must get prior written permission.
  3. Seller shall keep all “Confidential” information secure and only use it for contract obligations.
  4. If given access to Basler property, Seller must use it solely for performing Basler work.
  5. No party shall seek preferential treatment via entertainment, gifts, or benefits. Reasonable business exchanges are acceptable.
  6. Seller must not offer employment to a Basler employee during the contract or for 3 years afterward without express permission.
  7. Seller must provide a safe, harassment-free, discrimination-free workplace for all employees and downstream suppliers.
  8. Seller must obtain Basler’s express approval before representing it.
  9. Seller agrees to follow applicable US and State laws, including the Foreign Corrupt Practices Act and CA Transparency Act.
  10. Seller agrees to source components responsibly, respecting human rights under P.L. 111-203 Section 1502.
  11. Seller must comply with laws in every country it operates.
  12. Seller must avoid discrimination based on race, gender, religion, ethnicity, etc.
  13. Seller must pay legal wages and provide mandated benefits.
  14. Seller must not use underage or forced labor. Child labor laws must be followed strictly.
  15. Seller must comply with antitrust and competition laws.
  16. Seller must not engage in price-fixing or other illegal anti-competitive acts, and must follow environmental laws and standards.
  17. Seller must ensure workplace safety and comply with all safety standards and contractual requirements.
  18. Seller must adhere to anti-corruption laws, including avoiding bribes and improper charitable contributions.
  19. Seller must not evade import duties, taxes, or trade rules and must comply with trade sanctions and embargoes.
  20. Products procured for Basler must meet specifications and follow regulations like REACH, ROHS, and Conflict Minerals requirements.

Conflict Minerals Policy

Basler Electric Company and all subsidiaries (Basler) are committed to sourcing components and materials in a manner that respects human rights. This policy expands upon our Code of Conduct by further defining our sourcing intent with respect to conflict minerals.

Although Basler is not directly impacted by the SEC Final Ruling on Section 1502 of Public Law 111-203 (Dodd-Frank Act), it supports the goals, objectives, and reporting needs of our customers. The law aims to prevent the use of conflict minerals that finance or benefit armed groups in the Democratic Republic of the Congo or neighboring countries. Conflict minerals include columbite-tantalite (tantalum), cassiterite (tin), wolframite (tungsten), gold, or their derivatives. Additional materials may be added as necessary.

Basler supports the law through reasonable country of origin inquiry (RCOI) and due diligence measures. Since Basler does not purchase minerals directly from smelters or mines and is many layers removed, its suppliers are expected to adopt similar expectations throughout their supply chains and report conflict mineral status to Basler through due diligence practices.

  1. Goods: “Goods” includes all articles, materials, parts, items, accessories, etc., specified in this purchase order.
  2. Services: “Services” includes all labor, repairs, work, maintenance, transport, etc., specified in this purchase order.
  3. Buyer and Seller: “Buyer” refers to Basler Electric Company and subsidiaries. “Seller” refers to the vendor supplying the Goods or Services.
  4. Acknowledgement and Acceptance: Terms in this document override conflicting terms from Seller. Seller’s acceptance or performance confirms agreement.
  5. Quantities and Prices: Buyer’s count is conclusive. Prices default to last comparable order or quote. All duties and taxes must be included unless specified.
  6. Payment Terms: Payment due no earlier than 45 days after Buyer’s acceptance. Invoices must include all applicable taxes and terms.
  7. Inspection & Rejection: Buyer may inspect, reject, or require correction of defective Goods/Services at Seller’s expense.
  8. Audit: Buyer may audit Seller’s compliance records with notice; records must be retained for 3 years.
  9. Counterfeit Parts: Seller must replace counterfeit parts and is liable for all related costs and damages.
  10. Delivery: Time is essential. Buyer may cancel and seek damages for late deliveries unless delay is beyond Seller’s control.
  11. Warranties: Goods/Services must conform to specifications, be defect-free, and fit for purpose. Warranties extend to Buyer’s customers.
  12. NCNR Orders: Non-Cancelable Non-Returnable orders bind Seller to dates/prices unless otherwise agreed in writing.
  13. Termination for Cause: Buyer may cancel at no cost if Seller fails to comply with order terms.
  14. Termination for Convenience: Buyer may cancel without cause; Seller to be compensated only for accepted work completed to date.
  15. Insolvency: Buyer may cancel if Seller is bankrupt or ceases normal operations.
  16. Intellectual Property: Buyer retains usage rights. Seller must defend against IP infringement and provide non-infringing alternatives if needed.
  17. Cartage: No charge allowed for cartage unless agreed in writing.
  18. Advertising: Seller may not use Buyer’s name or details without written permission.
  19. Data and Drawings: All materials supplied remain Buyer’s property and must be kept confidential and returned on demand.
  20. Cybersecurity & Data Privacy: Seller must secure Buyer data, notify within 24 hours of a breach, and fix vulnerabilities within 14 days.
  21. Confidentiality: Seller must protect all Buyer confidential information, allow access only to vetted personnel, and destroy data post-contract.
  22. Tools: Unless agreed, Seller supplies tools. Buyer-owned tools remain Buyer’s property.
  23. Title & Risk: Title/risk transfers to Buyer upon delivery at specified location.
  24. Drafts: COD or draft shipments not honored unless agreed in writing.
  25. Compliance with Laws: Seller must comply with all applicable laws including labor, environmental, and anti-corruption laws.
  26. Relationship: Seller is an independent contractor, not an employee or agent of Buyer.
  27. Assignment: No assignment or subcontracting without Buyer’s written consent.
  28. Changes: Buyer may issue changes. Seller must notify Buyer in writing for adjustments.
  29. End of Life: Seller must give 6-month notice and Last Time Buy offer if product is being discontinued.
  30. Insurance & Indemnity: Seller must carry insurance, indemnify Buyer, and cover all liabilities except those caused solely by Buyer’s negligence.
  31. Insurance Charges: Buyer won’t pay for insurance or valuation charges on shipments unless agreed.
  32. Offsets/Setoffs: Buyer may offset payments due to Seller against amounts owed.
  33. Restricted Substances: Seller must ensure products meet REACH, RoHS, Prop 65, and environmental compliance requirements.
  34. Cross-Border Transactions: Seller must provide USMCA certificates and support customs compliance.
  35. Language: English is the only legally binding language for this agreement.
  36. Government Contracts: U.S. government procurement laws may apply. Seller must comply with FAR/DFAR clauses.
  37. Liability: Buyer is not liable for indirect or consequential damages. Total liability is limited to purchase price.
  38. Entire Agreement: This document and its attachments contain the full agreement. No external terms are valid unless signed by Buyer.
  39. Headings: Headings are for convenience only and do not affect interpretation.
  40. Governing Law: Illinois law applies. Legal actions must be brought in Madison County or Southern District of Illinois courts.
  41. Breach: Buyer may recover legal costs if Seller breaches agreement.
